Companies (Amendment) Bill, 2013. (Bill No. 16 of 2013)

The Companies Amendment Bill is a proposal to amend sections, 22, 48, 355,358, 359 of the The Companies Act CAP [42:01] as amended.

The amendment of the Companies Act will give the Registrar the prerogative to refuse to register a company if in his opinion it’s in the public interest to do so. He may also elect to de- register a company that is already registered for the same reason.

The Bill also makes it a requirement for copies of share registers to be lodged with the Registrar in the event of transfer of shares.
